Annual Subscription Terms

With the purchase of an annual subscription to ATC Academy ("ATC") (“Subscription”), you will have full access to all our athlete profiles and information as outlined in our service offering found at https://www.atcacademy.com.au/information-for-coaches.

The Subscription period is 12 months (“Term”) from the date of payment and is non-refundable. This is a subscription for a single user acting on behalf of a single USA-based College.

All information packs and videos are the property of ATC Academy and are made available to you to assess whether an athlete could be a prospect for your program. You may not sell, license, sublicense, or otherwise transfer these information packs or videos to others without our written permission. You may copy and utilise the specific information in the player profiles for your internal recruitment-related documents.

This Subscription Agreement (for paid subscribers only) is your contract (“Contract”) to download player packs, video and other information ATC may provide on its website to assist coaches and recruiters to assess our athletes for your programs.

By using this Website, you agree to this Contract. By using this Website after ATC post any changes to this Contract, you agree to accept those changes, whether or not you have reviewed them. If you do not agree to this Contract, you should not use our Website and, if you are a subscriber, you should arrange to cancel your subscription with us.

You agree to provide true, accurate, current and complete information ("Account Information") about yourself and the college you represent as prompted by the subscription registration processes.

You further agree that, in providing such Account Information, you will not knowingly omit or misrepresent any material facts or information and that you will promptly enter corrected or updated Account Information, or otherwise advise us promptly in writing of any such changes or updates.

You further consent and authorise ATC to verify your Account Information as required for your use of and access to the Website.

Your email address will be your username in connection with your account. You will be asked to create a password to purchase the Subscription and use the service.

You agree that you will not allow another person to use your username and password to access and use the Website under any circumstances.

You are solely and entirely responsible for maintaining the confidentiality of your password and for any charges, damages, liabilities or losses incurred or suffered as a result of your failure to do so.

ATC is not liable for any harm caused by or related to the theft of your password, your disclosure of your password, or your authorisation to allow another person to access and use the Website using your username and password.

Furthermore, you are solely and entirely responsible for any and all activities that occur under your account, including, but not limited to, any charges incurred relating to the Website.

You agree to immediately notify us of any unauthorised use of your Subscription or any other breach of security known to you. You acknowledge that the complete privacy of your data transmitted while using the Website cannot be guaranteed.

The Term of your subscription will begin when you initiate payment for your subscription. During the Term, you will be afforded the full use and benefit of your Subscription as described on the Website, which benefits may be revised by ATC from time to time without advance notice.

You agree that (1) any termination or cancellation of your access to or use of, this Website may be effected without prior notice, and (2) if you do not abide by the provisions of this Subscription Agreement, you agree that we may immediately deactivate or delete your account and all related information and files in your account.

Further, you agree that we shall not be liable to you or any third-party for any termination or cancellation of your access to, or use of, this Website.

You acknowledge that your only right with respect to any dissatisfaction with either (1) any modification or discontinuation made by us pursuant to this Subscription Agreement and your Contract; or (2) policies or practices used by us in providing this Website, including any change in content, is to cancel or terminate your subscription in accordance with the terms set out in this Subscription Agreement.

Prices are as advertised on this Website. Prices may change from time to time.

As the Website service starts immediately we are not able to provide you with a cooling-off period and therefore the minimum Term of the Subscription is 12 months.

Either you or we may terminate or cancel your Subscription Agreement at any time. You understand and agree that (subject to any of your statutory rights) the cancellation or termination of your Subscription Agreement is your sole right and remedy with respect to any dispute with us including, without limitation, any dispute related to, or arising out of:

Any terms and conditions of this Contract or our enforcement or application of this Subscription Agreement;
Any of our practices or policies, including our Privacy Policy, Website Use Terms and Conditions, and this Subscription Agreement, or our enforcement or application of these policies;
The content available through this Website or any change in content provided through this Website;
Your ability to access and/or use the Website; or
The amount or types of our charges, surcharges, applicable taxes, or billing methods, or any change to our fees or charges, applicable taxes, or billing methods.

Upon cancellation or termination of your subscription, we may immediately deactivate your account and all related information and/or files in your account and/or bar any further access to such information and/or files and this Website.

You can cancel your subscription to this Website by notice in writing (by post or email) to the addresses provided above. Your cancellation or termination will take effect within 72 hours after our receipt of your cancellation notice. We will attempt to process all cancellation requests within 72 hours after we receive your request.

If you cancel near the end of your billing period and are inadvertently charged for the next period's fee, contact our Membership Contracts Coordinator to have the charges reversed.

If you use this Website during that next period, you will not be entitled to a refund. We reserve the right to collect or retain fees, surcharges, or costs (including your annual membership fee) incurred before your cancellation takes effect.

You agree that (subject to any of your statutory rights) all charges assessed by us, including your annual membership fee, are non-refundable.

If we cancel or terminate your subscription (as opposed to you cancelling your subscription) before the end of the Term without cause, we will refund any unused portion of such period on a pro-rata basis.

If we terminate or cancel your subscription to this Website before the end of the applicable period of this Subscription Agreement due to any breach of the terms and conditions of this Contract by you, you agree that all fees and charges (including your annual membership fee) in respect to your use of this Website are non-refundable.

You agree that ATC provides no guarantee as to the performance or behaviour of any athlete you select through our recruiting services.

You accept that there is no guarantee that any ATC athlete will commit and sign to your program.

You agree that any agreement made with the athlete is between you and the athlete.

Acknowledgement

YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND HAD AN OPPORTUNITY TO SEEK INDEPENDENT LEGAL ADVICE BEFORE AGREEING TO IT. IN CONSIDERATION OF ATC ACADEMY AGREEING TO PROVIDE ALL ATHLETE CONTENT, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT. YOU FURTHER AGREE THAT IT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN YOU AND ATC ACADEMY, WHICH SUPERSEDES ANY PROPOSAL OR PRIOR AGREEMENT, ORAL OR WRITTEN, AND ANY OTHER COMMUNICATION BETWEEN YOU AND ATC ACADEMY RELATING TO THE SUBJECT OF THIS AGREEMENT.
